Well it happened, I got the can at work this week.

Yes it sucks. At the same time it was just what I needed to get my own thing going which was my plan anyway. The timing wasn't good but I'm dealing with it.

I need some help coming up with a company name. I'm having one hell of a time for some reason coming up with something. Some of you know what I do but I don't really want that to influence the name of the company. I'm looking for a name that really doesn't mean anything but rolls off the tongue nicely and is easy to remember.

If you've got any other ideas on how I should approach coming up with a name I'm open for anything.

I'll try my best to describe it.

I work in the home theater audio/video industry. More specifically I work with custom installation and system integration companies. I create a proposal, sales design, system design and documentation for each system ranging from a simple theater up to an entire house design costing several million dollars. I basically make sure the system has every piece of equipment spec'd out and make sure it works by drawing up wiring schematics so that the installers know how it's supposed to be hooked up.

The one thing I want to avoid is the generic home theater/audio video names like Audio Video Solutions, Wasatch Home Theater, Residential Integration. I'm not another home theater installation company and I don't want to get thrown in that category.

I think you're heading in the right direction steering clear of words like "Audio, theater, visual". You'll need to brand well though. The first word that popped in my mind, even before i knew what you did: Crispy

You could spell it different or something.

How about 3 letters that don't mean anything. ITF, GGL, AMC, TCT,

Name it after a kid or a nephew.

Name it after something in Utah (oh, that's original) Arch, Zion, Red Dirt, Salty, Polygamist Cinematics, Twin Peaks, Hard ass.

Uh, I'll be more creative later.

There might be some trademark issues with those.

Seriously though, there's nothing wrong with a name that reflects the nature of your business. It helps to brand your business and make it clear to new customers and contacts what industry you're in.

There was a band in Norman for a while called "Free Beer." (There was probable one in your area, too.) That way the sign on the bar said, "Tonight, Free Beer." Have you thought about being shifty and annoying like that?

I have no name recommendations, but I did want to congratulate you on the decision to go into business for yourself. Its a challenge, it's rewarding, it's fun, the pay can be awesome (the pay can also suck, if you do it wrong...).

Hope your used to being alone a lot... when all your friends work, and your don with your job at 10am... working for yourself starts to suck. Over all, its a problem I like to have. :p

Done with a job at 10am? That's exactly what I'm looking for and the only friend I need is the river and a fly rod.

I do have a lot of work to do since I was pushed into this sooner than I had planned. Fortunately the ball is already rolling.

Aside from the social adjustment there are also other considerations. My advice is...get good tax advice..upfront. When you own and run your own business, you open yourself up to a new world of regulation. As soon as you have an employee (even if you set up a company to hire yourself) you will have additional withholding, reporting and tax obligations with various departments of the State of Utah and also with the IRS. There can be penalties for failing to file forms. The IRS and the state of Utah take withholding obligations very seriously and you will have personal liability for withheld amounts.

With tax counsel, you should consider very carefully what type of entity to be and how you want to be taxed. If you are a service company and expect mostly revenue that pays you a salary, then you can save on employment taxes by electing S-corp status. If you expect to grow the business and expect company assets to significantly appreciate, or if you need to make special allocations among partners then you will want to form an LLC and be taxed as a partnership.

Also if you hire any employees (even if you form a company to hire yourself) you will be required by the Utah Dept. of Labor to obtain workers compensation coverage. In certain circumstances you can opt yourself out, but you need to send in a $50 fee and a fill out a form to opt out.

If you don't know and just need to get into business immediately you should form a manager-managed LLC with you as the manager and the single member. With you as the sole member (owner), the LLC is ignored as a separate taxpayer (disregarded) and all of your business income and expenses is reported on your personal tax return just like a sole proprietorship. This may save you some of the tax complexity and will provide you some limited liability if you operate it right. Keep your business and personal accounts separate. Open up a new bank account. If you start to get kilt by self-employment taxes, you can later elect to have the LLC taxed as an S-corp and then save on employment taxes going forward from election.

Moral of the story is get an accountant. A little bit of upfront expense and forethought can save you from serious headaches down the road.
